PEPSI® AND LAY’S® GEAR UP FOR PUCK DROP CONTEST
OFFICIAL RULES

The Pepsi® and Lay’s® Gear Up for Puck Drop Contest (the “Contest”) at Mac’s, Circle K and Couche Tard locations, is sponsored by PepsiCo Canada ULC and Couche-Tard Inc. (the “Contest Sponsors”) and will be administered by Elite Digital Inc. (the “Administrator”).

NO PURCHASE NECESSARY. THIS CONTEST IS ONLY OPEN TO LEGAL RESIDENTS OF CANADA WHO ARE AT LEAST THIRTEEN (13) YEARS OF AGE OR OLDER AT TIME OF ENTRY and shall be construed and evaluated according to the laws of Canada. Please do not proceed unless you are a legal resident at the time of entry. Participation in the Contest constitutes the participant’s (“you or your”) unconditional agreement to and acceptance of these Official Rules (the “Rules”) and the decision of the Releasees (defined in Section 8), whose decisions shall be final and binding and non-appealable in all respects. This Contest is subject to all applicable federal, provincial, and municipal laws. Contest void where prohibited by law.

  1. CONTEST DATES. The Contest begins on September 5, 2018 at 12:00:00 pm (noon) Eastern Time (ET) (the “Contest Start Date”) and ends on November 6, 2018 at 11:59:59 pm ET (the “Contest End Date”). The period between the Contest Start Date and Contest End Date is known as the “Contest Period”.
  2. ELIGIBILITY. The Contest is open to legal residents of Canada, who are at least thirteen (13) years or older at the time of entry. Employees of the Contest Sponsors, the Administrator, the NHL Entities (defined in Section 20), the NHLPA (defined in Section 20), or their respective head office and branch offices, distribution centres, their respective parent companies, affiliates, subsidiaries, distributors, sales representatives, administrators, advertising and promotion agencies, prize suppliers, agents, any entity that the Releasees contract with specific to this Contest and their respective immediate household/family members are NOT eligible to participate in the Contest. Immediate household/family members is defined, for these purposes, as including spouse, parents, children, siblings, and each of their respective spouses, and/or those persons with whom any of the above are domiciled (whether related or not).
  3. HOW TO ENTER.

    (i) ALL OF CANADA, EXCEPT QUEBEC: During the Contest Period, visit a participating Mac’s or Circle K Convenience Store and purchase any one (1) participating product (as provided below). You will receive one (1) scratch card for each qualifying purchase (while scratch cards and participating product supplies last). Scratch the card to reveal the unique PIN then visit www.PepsiLaysContest.ca (the “Contest Website”). Follow the instructions to complete the online Contest entry form by providing your unique PIN(s), name, email address, province/territory, and age confirmation, where prompted. To submit your entry, you will be required to confirm that you are eligible and agree to participate according to these Rules. If you are under the age of majority in your respective province of residence at the time of entry, you must confirm that you have received permission to enter the Contest from your parent or legal guardian. Once you have completed the above, click “submit”. You will receive one (1) entry into the Contest for each valid and unique PIN submitted. Please retain scratch card(s) with PIN(s) entered, for verification purposes, should your entry be selected as a potential winner.

    (ii) QUEBEC: During the Contest Period, visit a participating Couche-Tard Convenience Store and purchase any one (1) participating product (as provided below). You will receive a unique PIN printed on the receipt for each qualifying purchase (to a maximum of 6 PINs per receipt). Visit www.coucourscouchetard.com (the “Couche-Tard Website”) and follow the instructions to complete the online Contest entry form by providing your unique PIN(s), name, email address, province/territory, and age confirmation, where prompted. To submit your entry, you will be required to confirm that you are eligible and agree to participate according to these Rules. If you are under eighteen (18) years of age at the time of entry, you must confirm that you have received permission to enter the Contest from your parent or legal guardian. Once you have completed the above, click “submit”. You will receive one (1) entry into the Contest for each valid and unique PIN submitted. Please retain receipt(s) with PIN(s) entered, for verification purposes, should your entry be selected as a potential winner.

    Participating products: 591mL Pepsi® (any flavour/variety) soft drinks, 57g - 66g Lay’s® potato chips (any flavour), and 80g Doritos® tortilla chips (any flavour). Not all participating products are available at all stores.

    NO PURCHASE NECESSARY. To obtain a Contest entry without product purchase, print your name, email address, province/territory and age on a plain piece of paper (the “No Purchase Request”), and mail to: Pepsi and Lay’s Gear Up for Puck Drop Contest, 5511 Steeles Avenue West, Suite 200, Toronto, ON, M9L 1S7. Upon receipt of your No Purchase Request, the Contest Administrator will submit a PIN into the Contest on your behalf. Limit one (1) No Purchase Request per outer stamped envelope. There is no limit to the number of No Purchase Requests that an entrant can submit, as long as each No Purchase Request is mailed in a separate outer envelope, bearing sufficient postage. No Purchase Requests must be postmarked no later than November 6, 2018 and be received in time for the draw. No Purchase Requests that are mechanically reproduced or made in any fashion other than as specified herein are void. The Contest Sponsors are not responsible for delays in the event of lost, late, or destroyed entries that are not received by the deadline, including in connection with any labour disruption.

    In the event of a dispute over the identity of an entrant, the entry will be considered made by the natural person who is assigned an email address by the internet service provider. All entries become the sole property of the Contest Sponsors and cannot be returned.
  4. PRIZES. There are one hundred (100) NHLShop.ca electronic gift cards available to be won, each in the amount of CAD$250 (each a “Prize”). Prize must be accepted as awarded and cannot be substituted, transferred, exchanged or surrendered for cash, except at the sole and absolute discretion of the Contest Sponsors, which may award or substitute a prize of equal or greater value. Should a minor win a Prize, it will be awarded to his/her parent or legal guardian. The Releasees (defined in Section 8) shall not be liable for injury, loss, or damage of any kind, resulting from the acceptance, use or misuse of a Prize, or otherwise from participation in the Contest. Prize winners acknowledge that the Releasees have not made or are not in any manner responsible or liable for any warranty, condition, representation, or guarantee, express or implied, in fact or in law, relative to any Prize. The Prize is subject to the terms and conditions imposed by the issuer.
  5. DRAW. On November 19, 2018, at approximately 2:00 pm ET at 5511 Steeles Avenue West, Suite 200, Toronto, ON, M9L 1S7, a random draw will be conducted from among all eligible entries received to select one hundred (100) potential winners of a Prize. Odds of winning a Prize depend on the number of eligible entries received. Limit one (1) Prize per person.
  6. HOW TO CLAIM A PRIZE. If you are selected as a potential Prize winner, you will be notified via email within three (3) business days of selection. Once notified, the potential winner must provide a response to the Contest Sponsors or their authorized representative within five (5) days of notification. The potential winner must correctly answer, without assistance of any kind, whether mechanical, electronic or otherwise, a required mathematical skill-testing question, sign (or have a parent/legal guardian sign if a minor) a form of Declaration of Compliance and Release (the “Release”) and return it to the Contest Sponsors’ authorized representative by email within five (5) business days of receipt of the Release; and otherwise comply with these Rules. Proof of identification may also be required, as well as proof of with-purchase PIN.

    Prize will be emailed only to verified winners, in the form of an online PIN. Allow two (2) to four (4) weeks following winner verification. If a potential winner: (a) fails to correctly answer the mathematical skill-testing question; (b) fails to properly complete and return the Release within the time specified; (c) does not comply with these Rules (as determined by the Contest Sponsors in their sole and absolute discretion); (d) cannot be contacted in accordance with these Rules for any reason; and/or (e) cannot accept a Prize for any reason; then he/she will be disqualified, and will forfeit all rights to the Prize. The Contest Sponsors or their authorized representative will make a maximum of three (3) attempts to contact the eligible winners by email within five (5) business days of the draw for verification and issuing the Release. If a winner cannot be contacted, or there is a return of any notification as undeliverable/unanswered; then he/she will be disqualified (and will forfeit all rights to Prize) and another draw may be conducted to select an alternate winner of that Prize, who will be subject to the same process of verification.
  7. ADDITIONAL CONDITIONS OF PARTICIPATION

  8. PINS: Only PINs obtained from purchasing Participating Products or through legitimate No Purchase Requests are eligible for this Contest and cannot be combined with PINs from any other contest or promotion. A PIN will not be redeemed for an entry where the PIN is deemed to be void for any reason, including without limitation, the following: PIN is not verified or recognized as a valid PIN issued by the Contest Sponsors; PIN is determined to be previously entered and used; or PIN is incorrectly or incompletely entered or submitted. The Releasees shall have no liability or obligation to the holder of, or in respect of, any void PIN. Notwithstanding the foregoing, the Contest Sponsors may, upon request and at their sole discretion and without obligation, elect to replace an illegible or ineligible PIN with another randomly selected PIN. The Contest Sponsors reserve the right to inspect and examine any illegible or ineligible PIN prior to issuing a replacement. PINs cannot be sold, traded, bartered, assigned or transferred to or shared with a third party, auctioned through an online auction site, or otherwise or obtained through any source other than from one of the methods mentioned above. PINs are null and void and will be rejected if not obtained through authorized, legitimate channels.
  9. By participating in this Contest, each entrant (or parent/legal guardian in the case of a minor entrant) accepts and agrees to be legally bound by these Rules and by all decisions of the Contest Sponsors, which shall be final and legally binding (without right of appeal) on the entrant in all matters relating to this Contest including, without limitation, eligibility and/or disqualification of entries. In order to be confirmed a winner and receive a Prize, each potential winner will be required to sign and return the Release identified above which (among other things): (i) confirms compliance with these Rules; (ii) acknowledges acceptance of the applicable Prize as awarded; (iii) releases the Contest Sponsors, the Administrator, the NHL Entities, the NHLPA and each of their respective parents, officers, directors, agents, representatives, successors and assigns (collectively, the “Releasees”) from any and all liability in connection with this Contest, his/her participation therein and/or the awarding and use/misuse of any Prize or any portion thereof; and (iv) agrees to the publication, reproduction and/or other use of his/her name, city of residence/province, voice, statements about the Contest and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of the Contest Sponsors, at any time, in any manner whatsoever, including print, broadcast or the Internet.
  10. GENERAL. The Contest Sponsors may at any time, at their sole discretion and without liability, terminate, modify or suspend the Contest in whole or in part, subject only to the approval of the Régie des alcools, des courses et des jeux (the “Régie”) and without prior notice, obligation or liability, withdraw, cancel amend or suspend this Contest or amend these Rules for any reason, including but not limited to, any error (including any accident, printing, administrative, or other error), in the event of an error, technical problem, computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure or any other cause that interferes with the proper conduct of this Contest as contemplated by these Rules. Any attempt to deliberately undermine the legitimate operation of this Contest is a violation of criminal and civil laws and should such an attempt be made, the Contest Sponsors reserve the right to seek remedies and damages to the fullest extent permitted by law. Without restricting the generality of the foregoing, in the event of early termination of the Contest, a notice will be posted on the www.PepsiLaysContest.ca or www.concourscouchetard.com websites to that effect. In addition, for the purposes of determining eligibility to win a Prize in the event of early termination of the Contest, all eligible entries received prior to the time of early termination will be reviewed by the Contest Sponsors, and for the purposes of these Rules, the Contest Period will be deemed to have ended at the moment of early termination.
  11. No responsibility is assumed by the Releasees for any inability for a potential entrant to successfully enter any draw for any reason. The Releasees are not responsible for late, lost, damaged, misdirected, mutilated, garbled, illegible or incomplete entries. Proof of transmission (e.g. screenshots) and/or mailing does not constitute proof of delivery.
  12. The Contest Sponsors reserve the right, in their sole and absolute discretion, and without prior notice, to adjust any of the dates and/or timeframes stipulated in these Rules, to the extent necessary, for purposes of verifying compliance by any entrant with these Rules, or as a result of technical problems, or in light of any other circumstances which, in the opinion of the Contest Sponsors, in their sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Rules.
  13. LIMITATION OF LIABILITY. By entering this Contest, each participant acknowledges and agrees that the Releasees:
    (i) shall have no liability of any kind whatsoever with respect to this Contest and/or the awarding or use of any Prize,
    (ii) make no warranty, guarantee or representation of any kind concerning any Prize, (iii) disclaim any implied warranty, and (iv) are not liable for injury, loss or damage of any kind resulting from the entrant’s acceptance or use/misuse of a Prize or otherwise from such entrant’s participation in this Contest.
  14. Entrants and/or winners assume liability for injuries caused, or claimed to be caused by participating in the Contest, by the acceptance, possession, use or misuse of any Prize awarded, including not limited to claims/damages for personal injury, or property damage.
  15. The Releasees are not responsible for typographical or other errors in the offer or administration of this Contest, including but not limited to, errors in advertising, the Rules, the announcement of winners, distribution of the Prizes or technical malfunctions of telephone network lines, computer online systems, servers or providers, computer equipment or software, viruses, bugs, failure of personal computers and/or software and hardware configurations, or failure of any email to be received by the Contest Sponsors or a participant for any reason including but not limited to traffic congestion on the Internet or at any website or combination thereof. The Releasees are not responsible for damage to a user’s system occasioned by participation in this Contest or downloading any information necessary to participate in this Contest. The Releasees do not warrant that access to or use of the Contest will be uninterrupted or error-free.
  16. Under no circumstances, including negligence, shall the Releasees be liable for any direct, indirect, incidental, special or consequential damages that result from the use of or inability to use the service, or out of any breach of any warranty. This exclusion or limitation of liability will not apply to the extent that any applicable statute prohibits such exclusion or limitation of liability.
  17. DISPUTES.

    (a)  RESIDENTS OF QUEBEC: Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a Prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement.

    (b)  RESIDENTS OF CANADA, EXCLUDING QUEBEC: All issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of entrant and the Contest Sponsors in connection with the Contest, shall be governed by, and construed in accordance with, the substantive laws of the Province of Ontario without regard to conflicts of law principles. All entrants consent to the jurisdiction and venue of the Province of Ontario.
  18. DISCREPANCY. In the event of any discrepancy or inconsistency between the terms and conditions of the English language Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to: the Prize Claim Forms, and/or point of sale, television, print or online advertising; the terms and conditions of the English language Rules shall prevail, govern and control.
  19. PERSONAL INFORMATION. The Contest Sponsors collect, use, and disclose the personal information you provide for the purposes of Contest administration and prize fulfillment. By entering the Contest you consent to such collection, use, and disclosure, including the disclosure by Couche-Tard to PepsiCo Canada ULC of the personal information connected to Quebec residents’ Contest entries on the Couche-Tard Website or mobile app for the purposes of administering your participation in the Contest. Personal information maintained by the Contest Sponsors and their agents for the purposes of this Contest may be kept on servers outside of Canada. For more information about how the Contest Sponsors manage your personal information, see the Contest Sponsors’ respective Privacy Policies available at: www.pepsico.ca and www.couche-tard.com.
  20. NHL/NHLPA. For the avoidance of doubt, the National Hockey League (“NHL”) and its Member Teams, NHL Enterprises, L.P., NHL Enterprises Canada, L.P., NHL Enterprises B.V. and NHL Interactive CyberEnterprises, LLC (such NHL and NHL Member Team entities, collectively, the “NHL Entities”), the National Hockey League Players’ Association (the “NHLPA”), and each of their respective subsidiaries, affiliates, shareholders, members, officers, directors, agents, representatives and employees will have no liability or responsibility for any claim arising in connection with participation in the Contest or any Prize awarded. Neither NHL Entities nor the NHLPA have offered or sponsored the Contest in any way.
